Deal management for M&A advisors

Every sell-side deal, start to finish, in one platform.

DealAtrium is deal management software for lower-middle-market M&A advisory firms. It runs buyer onboarding from the first inquiry through the signed NDA to CIM access, tracks every buyer through IOI, management meetings, and LOI, sends your buyer follow-ups from your own Gmail or Microsoft mailbox, and gives your seller a portal to watch the process without calling you for updates.

Built for lower-middle-market advisory firms.

Built by a lower-middle-market M&A advisor, not a software company guessing at your workflow.

Connecting your email account

DealAtrium sends your deal correspondence from your own Gmail or Microsoft account

Running a deal means emailing buyers constantly: sending the CIM, chasing a signature, following up after a management meeting. DealAtrium sends those emails for you, from your own work mailbox, so a buyer sees a normal message from your real address and replies land back in your inbox the way they always have.

Each advisor connects their own mailbox once, from their profile page inside the portal, and can disconnect it at any time. Every message DealAtrium sends is recorded against that buyer on that deal, so the follow-up history lives with the deal instead of scattered across personal inboxes.

DealAtrium only emails buyers who asked to hear from you. Every message is addressed to one buyer about one deal they registered interest in, and none is sent unless we hold a record of that buyer agreeing to receive it. Today that agreement is given on the deal’s inquiry form, and the buyer signs an NDA before seeing anything confidential. Every message carries a link to stop the emails, and once a buyer uses it DealAtrium will not let another one be sent to them about that deal.

What DealAtrium asks your email provider for

Permission to send, and nothing else.

  • Permission to send email on your behalf, which Google calls the gmail.send scope and Microsoft calls Mail.Send.
  • Your email address, so the portal can show you which mailbox is connected.
  • DealAtrium never reads, imports, downloads, or stores the contents of your mailbox. It has no ability to open your existing mail.
  • No access to your contacts, calendar, files, or any other service on your account.
  • Disconnecting the mailbox in the portal revokes the permission immediately.

When you connect, Google’s consent screen identifies DealAtrium by its web address, dealatrium.com. That is this same product and this same company.

How DealAtrium handles this data is set out in full in our privacy policy.

No More: NDA Chasing, Scattered Documents, Sellers Feeling Out of the Loop

Between the inquiry and the LOI, most of an advisor’s week disappears into administration a system should be doing. DealAtrium does it.

NDA chasing

Send the NDA, wait, follow up, download the signed copy, file it, email the CIM, repeat. For every buyer, on every deal.

Scattered document delivery

CIMs, financials, and tax returns living in email attachments and shared drives, with no record of who has what, or who’s actually reading it.

Seller status calls

“Any update on buyers?” Weekly calls to relay information that already exists in your head and your inbox, just not anywhere the seller can see it.

Four subscriptions. One platform.

Most firms run deals on a duct-taped stack of tools that were never built for M&A. DealAtrium replaces the stack, and gives your CRM its real job back.

Replaces

E-signature software

NDAs are sent, signed, filed, and tied to buyer access automatically. No separate signature tool, no per-envelope fees.

Replaces

Data room storage

Box and Dropbox links were never built for deal permissions. Tiered access, activity logging, and instant revoke are built in here.

Replaces

Automation glue

No Zapier or Make scenarios wiring signature → folder → email. NDA-to-access is one system, so there’s nothing to break at 9pm on a Friday.

Un-jams

Your CRM

CRMs aren’t designed for M&A. Run every deal here: buyers, stages, document access, and deal milestone recording. Get your CRM back to what it does best: marketing to and signing new clients.

One platform. Three portals. Every party sees exactly what they should.

Advisors run the deal, buyers get a professional data room, sellers get real-time visibility, with every action on the record.

For advisors

Run your entire pipeline

Every deal, buyer, and interest record in one operational view, with the busywork automated.

  • Pipeline grouped by buyer stage, hottest buyers surfaced first
  • Email buyers from your own Gmail or Microsoft inbox, writing each message yourself or starting from your firm’s template library
  • Automated NDA-to-access rule engine with per-deal overrides
  • Notes on every buyer: private to your team, or shared with the seller when you choose
  • Buyer heat computed from real activity: CIM views, downloads, video plays
For buyers

A data room, not an email thread

Buyers sign in with a magic link, no passwords, and get a clean, centralized deal experience.

  • Inquire, sign the NDA, and land in the deal room in one flow
  • Teaser-level deals stay masked until access is granted
  • Inline CIM viewer, financials, tax returns, and streamed seller videos
  • Pass on a deal or schedule a call directly from the portal
For sellers

Full visibility, on the record

Sellers see every buyer by name, and the documented trail showing exactly who brought them to the table.

  • Every buyer’s stage, NDA status, and document activity: views and downloads, updated live
  • Time-stamped record per buyer: NDA signed, access granted, CIM downloaded, financials downloaded
  • View and download every signed buyer NDA on their deal
  • CIM and teaser approval workflow with revision requests
  • Onboarding checklist with built-in advisor comments, so everyone knows what’s needed next

From inquiry to data room, without touching your inbox

The buyer onboarding flow runs itself. You review only the buyers your rules say need reviewing.

Kick off the deal with your standard checklist

Set your firm’s standard onboarding request list once (financial, legal, tax, sell-side diligence) and populate it on any new deal with one click. Edit, remove, or add custom requests per deal; sellers and advisors comment right on the checklist.

Share one link per deal

Drop your deal’s inquiry link into BizBuySell, LoopNet, your own emails, or your website. No login required for buyers to start.

Buyers inquire and sign the NDA in one flow

The buyer submits their info and is redirected straight to e-signature. Your rule engine decides access: auto-approve after NDA, require vetting, or auto-approve only vetted buyer types. The signed NDA is filed automatically.

Approved buyers land in the deal room

CIM, financials, tax returns, and seller videos, delivered instantly at the access tier you’ve set, with every view and download time-stamped on the buyer’s record.

The pipeline manages itself as the deal moves

Go Under LOI and every other buyer is downgraded to teaser-only automatically, and restored if the deal comes back to market. No manual permission changes, ever.

The details that protect the deal, and your fee

Confidentiality isn’t a feature checkbox in M&A. It’s the whole job. DealAtrium is built around it.

Complete activity log

Every view, download, and signature, by every buyer, time-stamped. When a seller asks “who’s serious?”, you show them the record instead of your recollection.

Your introduction, documented

Sellers see buyers by name because the trail is undeniable: NDA signed, access granted, CIM downloaded, dated. You brought this buyer, and everyone can see it.

One-click revoke

Pull a buyer’s access to everything on the deal instantly. Your seller watches you control their information in real time. That’s what confidentiality looks like from their seat.

Three-tier data room

Assign any document type to one of three access tiers, and move a buyer up a tier with one click. Early buyers see enough; serious buyers see more; nobody sees everything by accident.

Teaser masking

Pre-NDA buyers see a deal ID and teaser financials, never the company name. Your seller’s identity doesn’t leak while you’re building the buyer list.

NDAs filed and visible

Every signed NDA is filed automatically to the buyer’s record, and sellers can view and download each one on their deal. Redlined NDAs signed outside the flow can be uploaded manually.

Email from your own inbox

Connect Gmail or Microsoft and email buyers straight from the portal, sent from your real address, threaded in your real inbox, and logged on the deal. Each message goes to one buyer on one deal, and only to buyers who inquired and agreed to hear from you. Start from your firm’s standard template list, editable to match your voice.

Notes for two audiences

Keep internal notes on every buyer interest for your team, and separate seller-facing notes the seller sees in their portal. One record, two levels of candor.

Buyer heat scoring

CIM views, document downloads, and media plays roll into a heat label, so your follow-up time goes to the buyers who are actually engaged.

Confidentiality your sellers can feel

A seller is trusting you with their company’s identity, financials, and future. DealAtrium makes that trust visible. They can watch you control exactly who sees what, every day of the process.

Ask us anything about it
Revoked means revoked, instantly

Pull a buyer’s access and they’re locked out on their very next click. No delay, no “it takes a while to propagate,” no exceptions.

Access always runs through you

Buyers view and download the CIM, financials, and videos through the portal, where access is checked first and every open and download is logged. No orphaned file links floating around inboxes that keep working forever for whoever gets forwarded one.

Each side sees only their side

Buyers never see your seller’s contact information, and pre-NDA buyers never see the company name. You stay the intermediary by design, not by discipline.

When in doubt, locked

If a buyer’s access status is ever unclear or incomplete, the system treats it as “no access,” never the other way around. Mistakes fail safe, not open.

One price for the whole firm

No per-seat math. One subscription that retires your separate e-signature, data room, and automation bills.
