Diligence Room Participant Terms
Effective September 9, 2026
These terms apply when you are admitted to a diligence room on DealAtrium. They are between you and ExitPros LLC, a Colorado limited liability company ("ExitPros LLC," "we," "us"), 3123 W Union Ave, Englewood, CO 80110.
An advisory firm is running a transaction and has admitted you to a room. That firm decides who is admitted, what each party may see, and when access ends. We enforce those decisions; we do not make them.
Your access is granted so you can evaluate this transaction. It gives you no right to keep the materials afterwards, and it ends when the process does. Whether you receive a copy of anything is the firm's decision, under the confidentiality agreement that applies to you. You can always obtain your own submissions and a record of what you accessed.
While you have access
- Materials in the room are confidential business information.
- Where you have signed a non-disclosure agreement, that agreement governs and these terms do not narrow it.
- Independently of any NDA, you agree not to redistribute or republish the materials, or use them for any purpose other than evaluating this transaction.
- Documents you open may carry a mark identifying you, so that a leaked copy can be traced back.
- Do not attempt to reach materials you have not been granted access to.
- Your account is yours alone. Do not share credentials.
Removing a download option limits convenience, not capability. Treat everything in a room as traceable to you.
Your own personal data
We hold your name, email address and account so the firm can admit you, and so access can be attributed to you. We are the controller for that data and answer to you for it.
You may ask what we hold, and to access, correct or delete it. Email privacy@dealatrium.com. We respond within 45 days, and you may appeal by replying.
Two things we keep regardless: your acceptance of these terms, and the record of what you accessed. Both outlive your access and the room, so that you, the firm and the seller can each establish what you were shown and on whose authority. We do not remove them on request.
We hold the documents in the room; we do not read them. Nothing extracts or indexes what a document says, so if your personal data sits inside a document someone else uploaded, we cannot search for it or find you inside it. The advisory firm can. We will tell you who they are.

Changes
We will update the effective date above when these terms change, and notify you by email where a change materially affects your access or how we handle your data.
